Never let the Black Cat cross your path! Get Amazing Spider-Man #194 - CBCS 9.6. Featuring the first appearance and origin of the Black Cat. This issue includes a line through the barcode, indicating it is a direct edition, which was only about 10% of the late 70s print run.

The yellow bar error (a printing miscue) in the upper right corner adds to its scarcity. It has been speculated that only 1% of the direct edition run had this error before it was corrected. So you can see how 1% of the top 10% makes this very sparce; and ASM 194, with the error, in high grade is almost non-existent due to the black cover.
